The minimum authorized share capital is EUR 0.01 and the share capital may be denominated in any currency.

Banking, insurance, assurance, reinsurance, fund management, collective investment schemes, trust management, trusteeship are not permitted.

Registered domicile required
Every Dutch company must have a registered office in the Netherlands.

Directors
A Dutch company (BV) requires at least one director. The director can be of any nationality and does not have to be a Dutch resident, but the majority of the directors must be EU residents. Company directors are allowed.

Shareholders
A Dutch company (BV) requires at least one shareholder.

Allowed.

Location of meetings for managers and members
Since 2012, the annual shareholders’ meeting can also be held outside the Netherlands. However, to create some content, it would be good to hold the meeting in the Netherlands if the other presence in the Netherlands is minimal.

20% for taxable income up to EUR 200,000 25% for taxable income above EUR 200,000

Dividends must include a withholding tax of 15%.
